Code of Conduct

Mentors 

 

1.  Upon joining Jump Mentors and periodically thereafter, Mentors are required to comply with Jump Mentors’ Code of Conduct and any revisions to it, which include the following:

 

1.1.  The Mentor shall not participate in any engagements under Jump Mentors if they are prohibited or restricted in any way from participating in such engagements, including where such engagement (i) violates any law or regulation; (ii) breaches any obligation to any third party, including but not limited to his or her applicable employment agreements, company manuals, and codes of ethics; (iii)  gives rise to any conflict or suspected conflict. For ongoing engagements, the Mentor will discontinue the engagement if the Mentor determines or suspects a conflict.

 

1.2.  The Mentor will not disclose, use or attempt to benefit from any information related to an engagement. 

 

1.3. In the course of the engagement, the Mentor may receive personal data from us, including but not limited to personal data involving the mentee. As a Mentor, you undertake and agree to comply with any and all personal data protection legislation applicable to such personal data, including but not limited to the Personal Data Protection Act 2012. You agree to idemnify and hold Jump Mentors harmless from any and all claims, damages, losses, fines and administrative penalties arising out of your breach of this Clause 1.3.

 

1.4.  The Mentor will not disclose confidential information including but not limited to: trade secrets, proprietary information, intellectual property, and other information that s/he has a duty to, or be reasonably expected to have a duty to, keep confidential, and will abide by all obligations to third parties, including obligations arising from non-disclosure agreements, severance agreements, and other applicable contractual agreements.

 

1.5.  The Mentor will not carry out any unlicensed regulated activities in the course of an engagement,  and will not disclose any information protected under applicable professional standards and requirements. 

 

1.6.  If a Mentor is an employee, officer and/or director of a company, s/he will not participate in an engagement when any sensitive transactions of such company are pending, including an IPO, merger, or tender offer, unless it can be established to a high degree of fidelity that the engagement is completely unrelated to such transactions.

 

1.7.  The Mentor is required to and will make the prescribed compliance declarations and undertakings prior to each engagement.

1.8.  The Mentor is required to ensure that all information provided and/or disclosed by the Mentor to Jump Mentors is, to the best of his or her knowledge, true, accurate and not in any way false or misleading, and s/he undertakes to inform Jump Mentors without delay of any material changes to such information, including but not limited to his or her CV and background information.

 

1.9.  The Mentor is responsible for confirming his or her ability to participate in a specific engagement based on his or her detailed understanding of the subject of an engagement prior to the engagement.

 

2.  Mentors are made aware that s/he can refuse to answer mentee questions and that s/he can report any such questioning that the Mentor feels might be in violation of any ethical, legal, regulatory, and contractual obligations or constraints the Mentor may have.

 

3.  Jump Mentors may perform some level of background check on Mentors, such as: identity verification, fact-checking of their background as represented on their CVs, profiles or resumes; confirmation that the Mentor has not previously committed a securities, criminal or other regulatory violation; or is not the subject of any ongoing litigation. Mentors agree to co-operate with and provide all necessary assistance and information to Jump Mentors in respect of such background checks. 

 

Mentees

 

4.  During all engagements, Mentees are required to comply with Jump Mentors’ Code of Conduct and any revisions to it, which include the following:

 

4.1.  Jump Mentors’ Mentees shall not engage in any conduct that will result in abetting or aiding the breach of a Mentor’s compliance undertakings or other legal obligations, including but not limited to asking for confidential information, proprietary and intellectual property-related information, trade secrets, and material non-public information.

 

4.2.  Jump Mentors’ Mentees acknowledge and agree that a Mentor can refuse to answer their questions and to report any such questioning that the Mentor feel might be in violation of any ethical, legal, regulatory, and contractual obligations or constraints s/he may have.

 

4.3.  The Mentee will not disclose confidential information including but not limited to: trade secrets, proprietary information, intellectual property, and other information that s/he has a duty to, or be reasonably expected to have a duty to, keep confidential, and will abide by all obligations to third parties, including obligations arising from non-disclosure agreements, severance agreements, and other applicable contractual agreements.
